1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Learner,” or “you”) and Skill Up LLC, trading as AI Governance Institute (“we,” “us,” or “our”), a limited liability company incorporated in the State of New Jersey, USA (Company Number: 0450466060), with its registered address at 971 US Highway 202 N, Suite N, Branchburg, NJ 08876, USA.

By accessing AI Governance Institute, creating an account, enrolling in any course, or making a purchase, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately stop using the platform.

2. About AI Governance Institute

AI Governance Institute is operated by Skill Up LLC, a company registered in New Jersey, USA.

We provide online professional development training courses focused on artificial intelligence governance, AI risk management, responsible AI, AI ethics, AI compliance, data governance, regulatory awareness, and related subjects.

Our courses may award Certificates of Completion upon successful course conclusion.

AI Governance Institute is an independent education and training provider. Unless expressly stated otherwise, we are not affiliated with, endorsed by, sponsored by, or acting on behalf of any government agency, regulator, standards body, certification authority, or third-party organisation, including but not limited to NIST, ISO, the European Commission, the EU AI Office, the Federal Trade Commission, or any other public or private regulatory body.

3. Eligibility

To use this platform, you must:

Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher;
Have the legal capacity to enter into binding contracts;
Not be prohibited by law from receiving our services;
Provide accurate, complete, and current registration information.

By using the platform, you represent and warrant that all of the above conditions are satisfied.

We do not knowingly direct our services to children under 13 years of age. If we become aware that personal information has been collected from a child under 13 without legally valid parental consent, we will take appropriate steps to delete such information in accordance with applicable law.

4. Account Registration

You may be required to register an account to access certain features of the platform. You agree to:

Provide truthful and accurate information during registration;
Maintain the confidentiality of your login credentials;
Notify us immediately at [email protected] if you suspect unauthorized use of your account;
Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that contain false information or that are used in breach of these Terms.

5. Course Enrollment and Access

Upon successful payment, you will be granted a personal, non-exclusive, non-transferable license to access the purchased course or courses for the duration stated at the point of purchase.

Unless otherwise stated, access is granted for twelve (12) months from the date of enrollment.

You may not:

Share your login credentials or course access with any other person;
Resell, sublicense, or redistribute course content;
Copy, record, download, reproduce, publish, transmit, or create derivative works from course materials;
Use automated tools, bots, scrapers, or similar technologies to access, copy, extract, or interfere with our platform;
Use our course materials to create competing courses, training products, or commercial educational resources.

Your access is provided solely for your personal, non-commercial professional development unless we have expressly agreed otherwise in writing.

6. Certificates of Completion

Upon completing a course and meeting any stated minimum requirements, such as quiz completion, assessment requirements, or pass marks, you may receive a digital Certificate of Completion issued by AI Governance Institute.

This certificate evidences course completion only. It does not constitute, and must not be represented as:

A government-issued qualification;
A professional license;
A statutory certification;
A formal academic degree;
Proof of legal or regulatory compliance;
Certification by any regulator, standards body, or government authority.

For courses relating to AI governance frameworks, responsible AI, risk management, compliance, or regulatory awareness, our content is designed for educational and professional development purposes only.

Obtaining any external certification, license, regulated credential, or formal professional status may require separate registration, examination, assessment, or approval by the relevant third-party body.

7. Pricing and Payment

All prices are displayed on the course listing page, product page, or checkout page and are inclusive of any applicable taxes unless stated otherwise.

We may accept payment through:

Shopify Payments;
PayPal;
Apple Pay;
Google Pay;
Credit or debit card;
Other methods displayed at checkout.

Payment must be made in full at the time of purchase unless an alternative payment arrangement is expressly offered by us.

We use industry-standard payment processors and do not store your full payment card details on our servers. All payment transactions are subject to the terms and conditions of the relevant payment processor.

Prices, discounts, promotions, and course availability may change at any time before purchase.

Refund eligibility, where applicable, is governed by the refund terms displayed at the point of purchase, on our refund policy page, or in any course-specific terms.

8. Intellectual Property

All content on AI Governance Institute, including but not limited to course videos, written materials, graphics, assessments, quiz questions, downloadable resources, templates, certificates, platform design, logos, branding, and other materials, is the exclusive property of Skill Up LLC, AI Governance Institute, or its licensors and is protected by applicable intellectual property laws.

You are granted a limited license to access and use the content solely for your personal, non-commercial professional development.

No ownership rights are transferred to you. No other rights are granted except as expressly stated in these Terms.

You may not use the AI Governance Institute name, logo, brand identity, course materials, or platform content without our prior written permission.

9. Prohibited Conduct

You agree not to:

Use the platform for any unlawful purpose or in violation of any applicable law or regulation;
Post, upload, transmit, or share any content that is defamatory, harmful, offensive, misleading, discriminatory, unlawful, or infringes third-party rights;
Attempt to gain unauthorized access to any part of the platform, user accounts, payment systems, servers, or underlying infrastructure;
Introduce malware, viruses, worms, bots, scripts, or other malicious code;
Engage in fraud, impersonation, misrepresentation, or deceptive activity;
Misrepresent your course completion, certificate, credentials, qualifications, or affiliation with AI Governance Institute;
Use course materials to engage in academic dishonesty, credential misrepresentation, or professional misconduct;
Copy, scrape, mine, harvest, or extract platform data or course content without authorization;
Interfere with the security, performance, or normal operation of the platform.

We may suspend or terminate access where we reasonably believe a user has breached this section.

10. Educational Disclaimer

The platform and all course content are provided for educational and informational purposes only.

AI Governance Institute does not provide legal, financial, regulatory, cybersecurity, compliance, employment, business, or professional advisory services.

Nothing in our courses, certificates, templates, examples, resources, or communications should be relied upon as legal advice or as a substitute for advice from a qualified professional.

AI governance, artificial intelligence regulation, data protection, cybersecurity, and compliance requirements may vary by jurisdiction and may change over time.

You are solely responsible for evaluating whether any course content, framework, template, or learning material is suitable for your own professional, organisational, legal, or regulatory circumstances.

11. AI-Related Content Disclaimer

Our courses may discuss, demonstrate, or reference artificial intelligence systems, automated decision-making, machine learning, generative AI, AI governance tools, risk assessment methods, compliance frameworks, and related technologies.

Any examples, templates, prompts, outputs, frameworks, or AI-related materials are provided for learning purposes only.

We do not warrant that any AI-related content, process, framework, template, or recommendation will satisfy a specific law, regulator, audit requirement, customer requirement, procurement obligation, organisational policy, or compliance standard.

You are responsible for independently reviewing, testing, validating, and adapting any AI-related material before using it in a real-world setting.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

THIS INCLUDES, BUT IS NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SUITABILITY FOR YOUR INTENDED USE.

WE DO NOT WARRANT THAT:

THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
COURSE CONTENT WILL ALWAYS BE CURRENT, COMPLETE, OR ERROR-FREE;
YOU WILL ACHIEVE ANY PARTICULAR RESULT;
YOU WILL OBTAIN EMPLOYMENT, PROMOTION, CERTIFICATION, LICENSURE, BUSINESS BENEFIT, OR REGULATORY APPROVAL;
ANY COURSE WILL MEET A SPECIFIC LEGAL, PROFESSIONAL, OR COMPLIANCE REQUIREMENT.

Some jurisdictions do not allow certain warranty exclusions, so some parts of this section may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKILL UP LLC, AI GOVERNANCE INSTITUTE, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, INSTRUCTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, EMPLOYMENT OUTCOMES, PROFESSIONAL CONSEQUENCES, REGULATORY ISSUES, OR DECISIONS MADE BASED ON COURSE CONTENT.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so some parts of this section may not apply to you.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law provisions.

Any disputes shall first be attempted to be resolved by contacting us at [email protected].

If the dispute is not resolved within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the state or federal courts located in New Jersey, USA.

Nothing in these Terms limits any statutory rights you may have under applicable consumer protection laws in your country or state of residence.

15. Changes to These Terms

We reserve the right to modify these Terms at any time.

Material changes will be communicated by email, platform notice, or a prominent notice on the website at least fourteen (14) days before they take effect, where reasonably practicable.

Your continued use of the platform after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the platform.
